Welcome to Cliniec ("Cliniec", "we", "us", or "our"). Cliniec operates a centralized digital healthcare platform that connects patients with doctors, pharmacies, laboratories, and emergency services through our mobile application and website at cliniechealth.com (collectively, the "Services").
By creating an account, accessing, or using any part of the Services, you ("User", "you", or "your") confirm that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy, which is incorporated herein by reference.
If you do not agree with any part of these Terms, you must not use the Services.
2. Eligibility
To use the Cliniec Services, you must:
- Be at least 18 years of age, or be using the Services under the supervision and authority of a parent or legal guardian who agrees to these Terms on your behalf.
- Have the legal capacity to enter into a binding contract.
- Not be prohibited from receiving the Services under the laws of Nigeria or any other applicable jurisdiction.
- Provide accurate, current, and complete registration information.
Healthcare professionals (doctors, pharmacists, lab technicians) registering on the platform must hold valid and current professional licenses and must comply with all applicable laws and professional standards governing their practice.
3. Your Account
To access certain features of the Services, you must create a Cliniec account. You agree to:
- Provide accurate, truthful, current, and complete information during registration and keep it updated.
- Maintain the confidentiality of your password and account credentials. You are solely responsible for all activity that occurs under your account.
- Notify us immediately at support@cliniechealth.com if you suspect unauthorized access to your account.
- Not create more than one account for yourself or create an account on behalf of another person without their express consent.
- Not share your account credentials with any third party.
We reserve the right to suspend or terminate accounts that we believe are being used fraudulently, in violation of these Terms, or in any manner that harms Cliniec, our users, or third parties.
4. Description of Services
Cliniec provides a digital health platform connecting users with healthcare services, including but not limited to:
a. Telemedicine (Easy Clinic)
Virtual consultations with licensed healthcare professionals via text, voice, or video. This includes AI-assisted triage, in-app chat, and clinical note generation.
b. Pharmacy Services (PharmaCare / Smart Pharmacy)
Ordering of over-the-counter and prescription medications, prescription upload, delivery coordination, and pill reminder features.
c. Laboratory Services
Booking of laboratory and diagnostic tests, sample collection coordination, and digital results delivery.
d. Ambulance & Emergency Services
Requesting emergency transportation and response services through the app.
e. Health Management Tools
Appointment management, health profiles, medical records, vitals tracking, pill reminders, and related wellness tools.
Cliniec acts as an intermediary platform. While we carefully vet healthcare providers on the platform, the clinical services themselves are provided by independent licensed professionals and partner facilities, not by Cliniec directly.
5. Medical Disclaimer
Cliniec is not a medical institution, hospital, or healthcare provider. The Services are designed to facilitate access to healthcare, not to replace or substitute professional medical advice, diagnosis, or treatment.
- Content generated by Cliniec's AI chatbot or any automated features is for informational purposes only and does not constitute medical advice.
- Always seek the advice of a qualified physician or other licensed healthcare professional for any questions you may have regarding a medical condition.
- Never disregard professional medical advice or delay seeking it because of something you have read, received, or experienced through the Services.
- In a medical emergency, call your local emergency services (e.g., 112 or 199 in Nigeria) or go to the nearest emergency room immediately.
6. Healthcare Providers
Cliniec connects you with independent licensed healthcare providers ("Providers"). These Providers are not employees or agents of Cliniec. They operate under their own professional judgment and are solely responsible for the clinical care they deliver.
- Cliniec verifies professional credentials during onboarding; however, we do not guarantee the competence, suitability, or conduct of any individual Provider.
- Any clinical relationship established through the platform is between you and the Provider, not between you and Cliniec.
- Providers may decline to treat you or may refer you to in-person care where clinically appropriate.
- You consent to your Provider accessing the health information in your profile that is relevant to your consultation.
7. Pharmacy & Prescription Services
When ordering medications through Cliniec's pharmacy services:
- Prescription medications will only be dispensed upon presentation of a valid prescription issued by a licensed healthcare professional.
- You must provide accurate information regarding your health profile, allergies, and current medications to minimize the risk of drug interactions or contraindications.
- Cliniec and its pharmacy partners are not liable for any adverse reactions arising from the use of medications where incorrect information was provided.
- Delivery timelines are estimates and may vary due to location, stock availability, or logistics.
- Pill reminder features are provided as a convenience tool only. Cliniec is not responsible for missed doses or consequences arising from notification failures.
8. Laboratory Services
When booking laboratory tests through Cliniec:
- Results are provided by partner laboratories and are for informational purposes. You should consult a licensed healthcare professional to interpret results in the context of your health.
- Cliniec does not guarantee the turnaround time for results, as this depends on the individual laboratory.
- You are responsible for ensuring you meet any pre-test preparation requirements (e.g., fasting) specified at the time of booking.
- In the event of an error or dispute regarding results, please contact the relevant laboratory directly or reach out to our support team.
9. Ambulance & Emergency Services
Cliniec's ambulance and emergency dispatch features are provided to help connect users with emergency transport providers. Please be aware:
- This service is not a substitute for national emergency lines. In a life-threatening emergency, always call the national emergency number (e.g., 112 or 199) first.
- Response times depend on traffic, location, and ambulance availability and are not guaranteed by Cliniec.
- Misuse or false activation of the emergency service is a serious violation of these Terms and may result in permanent account suspension and legal action.
- Costs associated with ambulance dispatch are the responsibility of the requesting user and will be communicated at the time of booking.
10. Payments & Refunds
Certain Cliniec Services require payment. By using paid Services, you agree to the following:
a. Payment Processing
Payments are processed through third-party payment processors. By providing payment information, you authorize us and our processors to charge the applicable fees. Cliniec does not store full card details on its servers.
b. Pricing
Fees for consultations, pharmacy orders, and laboratory tests are displayed at the time of booking or purchase. Prices are subject to change, and we will provide reasonable notice of any material changes.
c. Refunds
Refund eligibility depends on the type of Service:
- Consultations: If a consultation is cancelled before it begins, a full refund may be issued. No refund is available once a consultation has commenced.
- Pharmacy orders: Refunds or replacements may be available for incorrect, damaged, or undelivered items. Opened medication packages cannot be returned.
- Laboratory tests: Refunds are available if a test is cancelled before sample collection.

11. User Conduct
You agree that when using the Services, you will not:
- Provide false, inaccurate, or misleading information, including falsifying medical information or professional credentials.
- Use the Services for any unlawful purpose or in violation of any applicable local, national, or international law or regulation.
- Harass, threaten, defame, or harm any healthcare provider, Cliniec staff, or other user.
- Upload or share content that is harmful, abusive, offensive, sexually explicit, or otherwise objectionable.
- Attempt to gain unauthorized access to any part of the Services, other accounts, or Cliniec's systems.
- Use any automated means, bots, scrapers, or similar tools to access or extract data from the Services.
- Attempt to interfere with, disrupt, or compromise the integrity or performance of the Services.
- Use the platform to solicit healthcare services outside of the Cliniec platform from providers you met through Cliniec.
Violation of these conduct rules may result in immediate suspension or termination of your account.
12. Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, software code, and the overall design — are owned by or licensed to Cliniec and are protected by copyright, trademark, and other intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use.
- You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from any part of the Services without our prior written consent.
- Any content you submit to the platform (e.g., reviews, photos) remains yours. You grant Cliniec a worldwide, royalty-free licence to use such content solely to operate and improve the Services.
13. Privacy
Your use of the Services is also governed by our Privacy Policy, which details how we collect, use, store, and protect your personal and health information. By using the Services, you consent to our privacy practices as described therein.
14. Third-Party Links & Services
The Services may contain links to third-party websites or integrate third-party services (such as payment processors, mapping services, or video conferencing tools). These third-party services are governed by their own terms and privacy policies. Cliniec is not responsible for the content, practices, or policies of any third-party service.
15. Disclaimers of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
Cliniec does not warrant that:
- The Services will be available at all times or will be free from errors, bugs, or security vulnerabilities.
- Any information or results obtained through the Services will be accurate, complete, or reliable.
- The Services will meet your specific health or medical needs.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLINIEC, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, HEALTH OUTCOMES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.
In jurisdictions that do not allow certain limitations of liability, Cliniec's liability shall be limited to the maximum extent permitted by law.
Our total aggregate liability to you for any claim arising out of these Terms or the Services shall not exceed the greater of: (i) the amount you paid to Cliniec in the twelve (12) months preceding the claim; or (ii) ₦10,000 (Ten Thousand Naira).
17. Indemnification
You agree to indemnify, defend, and hold harmless Cliniec, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your access to or use of the Services.
- Your breach of any provision of these Terms.
- Your violation of any applicable law or the rights of a third party.
- Any content you submit, upload, or transmit through the Services.
18. Termination
You may terminate your account at any time by submitting an account deletion request through our account deletion form or by contacting support.
Cliniec reserves the right to suspend or terminate your access to the Services, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination:
- Your licence to use the Services will immediately cease.
- Certain provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and governing law) shall continue to apply.
- Medical records may be retained as required by applicable law even after account deletion.
19. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law provisions.
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, you agree to first contact us at support@cliniechealth.com to attempt to resolve the matter informally. If the dispute is not resolved within 30 days, either party may seek resolution through the courts of competent jurisdiction in Lagos, Nigeria.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will notify you through the app, by email, or by other reasonable means, and update the "Last updated" date at the top of this page.
Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.
